These Terms and Conditions outline the legal agreements between Infuro Tech Solutions LLP ("Company," "we," "us," "our") and its customers ("Client," "you," "your"), including limitations of liability, usage restrictions, and dispute resolution procedures. By engaging our services, you agree to be bound by these terms.

1. Service Details and User Responsibilities

Services Provided

We provide technology services including:

  • AI Strategy & Consulting
  • Custom AI/ML Development
  • Full-Stack Software Development
  • DevOps & Cloud Engineering
  • Infrastructure Management
  • Blockchain & DLT Solutions
  • Data Analytics & Business Intelligence
  • Quality Assurance & Testing

Client Responsibilities

  • Timely Communication: Provide prompt feedback and responses to project queries
  • Resource Access: Grant necessary access to systems, APIs, and resources as required
  • Content Provision: Supply required content, assets, and specifications in agreed format
  • Testing Cooperation: Participate in testing and review processes as scheduled
  • Payment Compliance: Make payments as per agreed schedule and terms
  • Legal Compliance: Ensure all provided content and requirements comply with applicable laws
  • Data Accuracy: Provide accurate and complete information for project requirements

Usage Restrictions

  • Services are for business use only, not for personal or consumer use
  • No resale or redistribution of our services without written permission
  • No reverse engineering or unauthorized access to our systems
  • No use of services for illegal activities or content
  • No sharing of account credentials or access with unauthorized parties

2. Payment Terms and Conditions

Payment Methods

  • Online payment gateway integration
  • Secure payment links
  • Bank transfers (for approved clients)
  • All payments in Indian Rupees (INR) unless otherwise specified

Payment Schedule

  • Advance payment required for project initiation (typically 50% of total project cost)
  • Milestone-based payments for long-term projects
  • Final payment upon project completion and delivery
  • Consulting services billed in advance or upon completion
  • Recurring services billed monthly or as per agreement

Late Payments and Consequences

  • Late payment fees of 2% per month on overdue amounts
  • Services may be suspended for non-payment after 15 days
  • Legal action may be taken for persistent non-payment
  • Project delays due to non-payment will not be considered our responsibility

3. Intellectual Property Ownership

Client Ownership

  • Client owns final deliverables upon full payment
  • Client retains ownership of all provided content and materials
  • Client has rights to use deliverables for intended business purposes

Company Rights

  • We retain rights to reusable components, frameworks, and libraries
  • Portfolio rights to showcase completed work (with client permission)
  • Rights to use project learnings for future development
  • Ownership of proprietary tools and methodologies used

Third-Party Components

  • Third-party licenses and tools remain under their respective terms
  • Client responsible for compliance with third-party license terms
  • We will inform client of any third-party licensing requirements

4. Limitations of Liability

Service Limitations: Our liability is limited to the amount paid for the specific service in the 12 months preceding the claim.

Indirect Damages: We are not liable for indirect, incidental, consequential, or punitive damages including lost profits, data loss, or business interruption.

Third-Party Services: We are not responsible for third-party services, tools, platforms, or their availability or performance.

Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control including natural disasters, government actions, or technical failures.

Data Loss: While we implement security measures, we are not liable for data loss or security breaches beyond our reasonable control.

Warranty Disclaimer: Services are provided "as is" without warranties of merchantability or fitness for a particular purpose.

5. Dispute Resolution Procedures

Resolution Process

  • Direct Negotiation: Parties agree to negotiate in good faith to resolve disputes
  • Escalation: Disputes not resolved within 30 days may be escalated to senior management
  • Mediation: If negotiation fails, parties may pursue mediation through a neutral third party
  • Arbitration: If mediation fails, disputes may be resolved through binding arbitration

Legal Jurisdiction

  • Disputes will be resolved in courts of Jaipur, Rajasthan, India
  • These terms are governed by Indian law
  • Any legal proceedings must be initiated within 12 months of the dispute arising

6. Service Level Agreement

Response Times

  • Email inquiries: Within 24 hours
  • Urgent issues: Within 4 hours during business hours
  • Project updates: Weekly or as per agreement
  • Support requests: Within 48 hours

Business Hours

Monday to Friday: 9:00 AM to 6:00 PM IST (excluding public holidays)

Warranty Period

30-day warranty period for bug fixes and critical issues post-delivery.

7. Confidentiality and Security

Non-Disclosure: We maintain strict confidentiality of client information and project details.

Data Security: Industry-standard security measures protect all client data and communications.

Access Control: Limited access to client information on a need-to-know basis.

Secure Communication: All sensitive communications are encrypted and secure.

Data Retention: Client data is retained only as long as necessary for service provision.

8. Termination

Client Termination: 7-day written notice required for project cancellation.

Our Termination: We may terminate services for non-payment, breach of terms, or illegal activities.

Post-Termination: Work completed up to termination date will be billed at agreed rates.

Data Return: Client data will be returned or deleted as per agreement within 30 days.

9. Changes to Terms

We may update these terms from time to time. Changes will be communicated through:

  • Email notification to active clients
  • Updated terms posted on our website
  • Continued use constitutes acceptance of updated terms
